Terms of Service
These terms govern your use of the Shapzo platform for appointment-led businesses, provided by Adhishva Tech, a sole proprietorship registered as a micro, small or medium enterprise (MSME) in India and based in Ahmedabad, Gujarat. It is not an incorporated company, so it has no CIN, and it is not currently registered for GST ("Shapzo", "we", "us").
By ticking the acceptance box at registration, or by continuing to use the platform after we publish a new version, you agree to these terms. If you are accepting on behalf of a business, you confirm you are authorised to bind it.
1. Definitions
- Platform — the Shapzo web application, its business portal, its APIs and the super-admin panel.
- Tenant / Salon — the business that registers a workspace. You, if you are the person registering.
- Authorised User — an owner, manager or staff member the Tenant invites into the workspace.
- Salon Customer — an individual whose details a Tenant records in the Platform.
- Customer Data — personal data about Salon Customers, and the Tenant's own business records, held in the Platform.
2. Accounts
- Registration requires a verified email address. One self-registered login exists per email address; joining a further workspace happens by invitation.
- You are responsible for the accuracy of what you register, including your business name, address and GSTIN. Your GSTIN prints on every tax invoice you issue, so an incorrect one makes those invoices non-compliant — that is your responsibility, not ours.
- A new workspace is created in a pending state and is activated after review. We may decline an application.
- You are responsible for your account credentials and for every action taken under them. Enable two-factor authentication. Tell us promptly at [email protected] if you believe an account has been compromised.
- You are responsible for the Authorised Users you invite, for the roles and permissions you grant them, and for removing access when someone leaves.
3. Acceptable use
You must not, and must not permit anyone else to:
- Use the Platform to break any law, including India's data protection, consumer, telecom-marketing (TRAI/DLT), tax or employment law.
- Send marketing messages to anyone who has not consented, or continue after they unsubscribe. Every marketing message the Platform sends carries a working unsubscribe link; suppressing, faking or ignoring it is a breach of these terms.
- Upload malware, or content that is unlawful, defamatory, infringing or obscene.
- Attempt to access another Tenant's data, probe or bypass the access controls, or test the security of the Platform without our prior written permission.
- Reverse-engineer, decompile, scrape or resell the Platform, or use it to build a competing product.
- Share one login between multiple people, or exceed any user or usage limits in your plan.
- Impose an unreasonable load on the Platform, or circumvent the rate limits.
- Record personal data in the Platform that you have no lawful basis to hold — including health information such as allergy notes, for which the safeguards and the basis are described in the Privacy Notice and remain your responsibility as Data Fiduciary.
We may suspend access immediately where we reasonably believe this section has been breached, or where continued use threatens the security or integrity of the Platform or other Tenants.
4. Your responsibilities as Data Fiduciary
This is the most important operational term in this agreement, and it is easy to get wrong.
For your Salon Customers' personal data, you are the Data Fiduciary under the DPDP Act 2023 and the controller under the GDPR. We are your processor. You decide what is recorded and why; we hold it on your instructions.
That means you are responsible for:
- Giving your customers the notice the law requires, at or before the point their details are entered — DPDP s.5, GDPR Art. 13/14. We provide a ready-made Customer Collection Notice in nine languages, printable from Settings → Privacy & Data. Using it is your choice and displaying something is your obligation.
- Having a lawful basis, and obtaining consent where consent is the basis — in particular for marketing and for any health information you record.
- Answering your customers' rights requests. The Platform gives you the tools: view,
correct, export (
GET /api/customers/{id}/data-export) and erase (POST /api/customers/{id}/erase) an individual's record. - Complying with TRAI's DLT registration requirements for the SMS you send through the Platform, and with the Telecom Commercial Communications Customer Preference Regulations.
- Keeping accurate tax records and issuing compliant invoices.
- Your own employment-law obligations to the staff whose payroll and attendance you run through the Platform.
The Data Processing Agreement forms part of these terms and sets out our obligations to you in return.
5. Our service, and what we do not promise
- We provide the Platform on a subscription basis and will use reasonable skill and care.
- We do not offer a contractual uptime guarantee. The Platform is provided on a commercially reasonable-efforts basis.
- We may carry out maintenance, and will give reasonable notice of planned downtime where we can.
- We may change, add or remove features. We will not remove a material feature without reasonable notice.
- Third-party services the Platform integrates with — SMS, email, push, payments, maps and the optional AI features — may fail or change independently of us. Where a channel is unavailable the Platform degrades rather than losing your data.
- The AI features are optional and are not advice. Output from the AI assistant, receipt scanning and catalogue extraction can be wrong. Check it before acting on it. You can disable all AI processing for your workspace in Settings.
- Except as expressly stated, the Platform is provided "as is" and we disclaim all implied warranties to the fullest extent the law allows.
6. Fees and billing
- Plans and prices. The Platform is sold on the Starter, Growth and Pro plans, priced per outlet per month in Indian rupees, with a yearly option that costs ten months. The current prices, what each plan includes, the discount for additional outlets, and the rates for SMS, WhatsApp and AI use beyond a plan's bundle are published on the pricing page of our website and inside the Platform; those published figures form part of these terms. Enterprise arrangements are agreed in writing.
- Trial. Every approved workspace starts on a 14-day Growth trial. No payment details are taken and nothing is charged. If no plan is chosen before the trial ends, the workspace becomes read-only; nothing is deleted and nothing is owed, and choosing a plan reopens it. A workspace left read-only for 30 days after the trial is archived.
- Payment. Payments are collected by Razorpay. Monthly plans are collected automatically on each renewal date by UPI Autopay or a card mandate; yearly plans are paid once for the year. Usage beyond a plan's bundle is paid from a prepaid balance that you top up; nothing is sent or run without a balance to cover it.
- Taxes. We are not currently registered for GST, so no GST is charged. If we register, GST will be added at the applicable rate from that date and shown on invoices.
- Renewal and cancellation. Subscriptions renew automatically at the end of each period unless cancelled before the renewal date, as described in section 7.1.
- Failed payments. If a renewal payment fails you have seven days to resolve it with the workspace working as usual. After that the workspace becomes read-only until a payment lands; your data stays, and nothing is sent to your customers on your behalf while it is read-only. A workspace left read-only for non-payment for 90 days is archived.
- Plan changes. Moving to a higher plan takes effect immediately and you pay only the difference for the rest of the current period. Moving to a lower plan takes effect at the end of the period already paid for.
- Refunds. Subscription fees and prepaid top-ups are not refundable once paid; a paid period runs to its end whether or not you use it. We refund in full a charge that should not have been taken: a duplicate charge for the same period, or a renewal collected after your cancellation was recorded. Refunds go to the original payment method. The full Refund and Cancellation Policy is published on our website and forms part of these terms.
- Price changes. We will give at least 30 days' notice by email before a price change takes effect, and it applies from your next renewal after that date. You may cancel before then.
7. Suspension and termination
- You may cancel at any time from Settings → Subscription → Plan → Cancel in the portal. No notice period applies. Cancellation stops the next renewal; your plan stays active until the end of the period you have already paid for, after which the workspace becomes read-only. No part of the current period is refunded.
- We may suspend or terminate your access if you materially breach these terms and do not fix it within 15 days of written notice; immediately, where the breach cannot be fixed or where continued access poses a security or legal risk; or on non-payment.
- On termination, we will make your data available for export for 30 days, and will then delete or anonymise it in accordance with the Privacy Notice and the Data Processing Agreement — except where a statutory retention floor (Companies Act 2013 s.128, GST rules, the Income Tax Act) requires records to be kept, in which case they are anonymised and retained.
- The owner may also delete the business from Settings → Privacy & Data in the portal, or My Account in the app. Access ends for everyone at once and the business is erased after 7 days unless the owner cancels before then; records a statutory retention floor requires are anonymised and retained as in point 3. Subscription renewal stops when the deletion is requested.
- Sections 4, 8, 9, 10 and 11 survive termination.
8. Intellectual property
- We own the Platform, its software, design and documentation. Nothing here transfers that to you. You get a non-exclusive, non-transferable right to use it during your subscription.
- You own your data. We claim no ownership over your business records or your Salon Customers' data. We use it only to provide the Platform to you and as the Data Processing Agreement permits.
- We may use aggregated, fully anonymised statistics — which cannot identify you, your business or any individual — to improve the Platform.
- Feedback you send us may be used without obligation or payment.
9. Confidentiality
Each party will keep the other's non-public information confidential, use it only for this agreement, and protect it with at least reasonable care. This does not apply to information that is public through no fault of the recipient, was already lawfully known, or must be disclosed by law — with notice to the other party where lawfully permitted.
10. Liability
- Neither party excludes liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded.
- Neither party is liable for indirect or consequential loss, loss of profits, loss of business, loss of goodwill, or loss of anticipated savings.
- Subject to 10.1, each party's total aggregate liability arising out of this agreement is limited to the fees paid by you in the 12 months preceding the claim.
- You indemnify us against claims arising from Customer Data you put into the Platform without a lawful basis, from marketing you send in breach of section 3.2 or of TRAI's rules, and from your breach of section 4.
- Nothing in this section limits either party's obligations under applicable data protection law, or the statutory liability of a Data Fiduciary to a Data Principal.
11. General
- Governing law. These terms are governed by the laws of India.
- Disputes. The courts at Ahmedabad, Gujarat, India have exclusive jurisdiction over any dispute arising out of or in connection with these terms.
- Changes to these terms. We may update them. Where a change is material we will give notice and ask you to accept the new version when you next sign in; the version you accepted, and when, is recorded against your workspace. Continuing to use the Platform after a non-material change means you accept it.
- Assignment. You may not assign this agreement without our written consent. We may assign it to a successor in connection with a merger or sale of the business.
- Entire agreement. These terms, the Privacy Notice and the Data Processing Agreement are the whole agreement between us on this subject.
- Severability. If any provision is unenforceable, the rest stands.
- No waiver. Not enforcing a term is not a waiver of it.
- Notices. To you, at the email on your account. To us, at [email protected].
- Force majeure. Neither party is liable for a failure caused by something genuinely beyond its reasonable control.
- Grievances. For complaints about your personal data, contact the Grievance Officer: Darshan Chavda, [email protected].
